Shortly before closing on a residential property, the parties discovered an unexpected problem: the property's historical natural gas service was no longer available.

Restoring permanent gas service required utility coordination, permits and work that could take weeks. Waiting for all of that to occur before settlement could jeopardize the transaction.

The agents and their clients found a practical solution. The property would temporarily be converted to electric service so the necessary Use & Occupancy approval could be obtained and the transaction could move forward. After settlement, the seller would continue working with the utility and contractors to restore permanent gas service and convert the cooking equipment back to gas.

Problem solved? Not quite.

Once the buyer closed and the seller received the sale proceeds, the buyer needed to know that the seller's post-closing promises were more than just promises.
